Terms of Service
These Terms of Service govern your use of riverpharm.com and any business engagement with Riverpharm LLC as a contract supplement manufacturer. By submitting an inquiry or entering a manufacturing agreement, you agree to these terms.
About Riverpharm
Riverpharm LLC is a U.S.-based contract dietary supplement manufacturer operating an FDA-registered, cGMP-certified facility at 8 The Green Ste A, Dover, DE 19901. We provide contract manufacturing services exclusively to businesses — not individual consumers. These terms apply to all use of riverpharm.com and any business relationship initiated through it.
Use of This Website
Your access to and use of this website is subject to the following conditions:
Permitted use — You may browse this site to evaluate our contract manufacturing capabilities, submit inquiries, and access resources relevant to a B2B supplement production relationship.
Prohibited use — Scraping or automated data extraction, impersonating another company or brand, submitting false or misleading inquiry information, or attempting to interfere with site security or infrastructure are strictly prohibited.
Intellectual property — All website content — including text, images, branding, and design — is owned by Riverpharm LLC and may not be reproduced, distributed, or modified without prior written consent.
Manufacturing Inquiries & Quotes
Submitting a contact form or quote request through this website is subject to the following:
Not a binding offer — Submitting a quote request or contact form does not create a binding contract. All manufacturing engagements are formalized through a separate signed agreement — a Manufacturing Agreement or Purchase Order.
Established formulas only — Riverpharm works exclusively with existing, production-ready formulas. Submitting an inquiry signals that you represent a brand with an established formula ready for scale manufacturing.
Quote validity — Pricing quotes provided by Riverpharm are valid for 30 days from the date of issue unless otherwise stated in writing.
Non-Disclosure & Confidentiality
Both parties agree to protect proprietary information shared in connection with a manufacturing evaluation or engagement. Specifically:
NDA before review — Riverpharm executes a mutual Non-Disclosure Agreement (NDA) before reviewing any formula, ingredient specification, or production parameter submitted by a prospective client.
Pre-NDA submissions — Details submitted through site forms before NDA execution should be limited to general product category and estimated volume — not specific formula data or proprietary ingredient ratios.
Riverpharm confidential information — Riverpharm's proprietary manufacturing processes, facility configurations, equipment data, and pricing structures are confidential and may not be disclosed by clients to any third party.
Manufacturing Agreements
Actual production runs are governed by a separate written Manufacturing Agreement or Purchase Order, which will specify:
Product specifications — Formula details, delivery format, ingredient standards, and finished product specifications.
Commercial terms — Minimum order quantities, per-unit pricing, payment schedule, and invoicing terms.
Production timeline — Lead times, production milestones, and agreed delivery dates.
Quality standards — Acceptance criteria, certificate of analysis (COA) requirements, and dispute resolution procedures for out-of-spec product.
Liability & indemnification — Mutual indemnification obligations and limitation of liability specific to the production run.
In the event of any conflict between these Terms of Service and a signed Manufacturing Agreement, the Manufacturing Agreement controls.
Limitation of Liability
To the fullest extent permitted by applicable law, Riverpharm's total liability arising from any manufacturing engagement or use of this website is limited to the amount paid by the client for the specific production run at issue. Riverpharm is not liable for indirect, incidental, special, or consequential damages — including lost profits, product launch delays, or market losses — even if advised of the possibility of such damages.
Regulatory Compliance
As an FDA-registered, cGMP-certified manufacturer, Riverpharm maintains compliance with 21 CFR Part 111 (Dietary Supplement Current Good Manufacturing Practice). The following responsibilities remain with the client:
Product compliance — Clients are solely responsible for ensuring their finished products — including labeling, ingredient claims, and formulation — comply with applicable FDA regulations, FTC guidelines, and any jurisdiction-specific requirements.
Label review — Riverpharm does not review or approve client product labels for regulatory compliance. Clients should engage qualified regulatory counsel for label review.
No regulatory advice — Nothing on this website or in any communication from Riverpharm constitutes regulatory, legal, or formulation advice.
Intellectual Property
Client IP — You retain full ownership of your brand, formula, and product concepts. Riverpharm does not claim any rights to your products or formulas as a result of manufacturing them.
Riverpharm IP — Our manufacturing processes, equipment configurations, proprietary quality systems, and facility know-how remain the exclusive property of Riverpharm LLC.
No reverse engineering — Clients and their representatives may not attempt to reverse-engineer, replicate, or disclose Riverpharm's manufacturing processes, facility configurations, or quality systems.
